Please read these terms carefully before using Residly.

1. Acceptance of Terms

By creating an account or using the Residly platform (residly.ng and app.residly.ng), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use the platform.

These terms constitute a legally binding agreement between you ("Customer", "you") and Residly Technologies Limited ("Residly", "we", "us"), a company registered in Nigeria.

2. Description of Service

Residly is a cloud-based property management platform designed for Nigerian short-let and rental property managers. The platform enables you to manage bookings, track finances, communicate with guests, and manage your property portfolio.

We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice.

3. Account Registration

To use Residly, you must create an account with a valid email address and password. You are responsible for:

You may not share your account credentials with others or create accounts on behalf of third parties without authorisation.

4. Free Trial

New accounts receive a 14-day free trial with full access to all features. No credit card is required to start a trial.

At the end of the trial period, you must subscribe to a paid plan to continue using the platform. Your data is retained for 90 days after trial expiry to allow you to upgrade or export your data.

5. Subscription Plans and Payments

Residly offers Starter, Growth, and Pro subscription plans billed monthly. Pricing is displayed on our pricing page at residly.ng.

If a payment fails, we will notify you by email and your account may be downgraded until payment is resolved.

You agree to use Residly only for lawful purposes and in accordance with these terms. You must not:

You retain ownership of all data you enter into the Residly platform, including booking records, guest information, and financial data. You grant Residly a limited licence to store, process, and display this data solely for the purpose of providing the service to you.

You are responsible for ensuring that guest data you enter into the platform is collected and processed lawfully and that you have appropriate consent from your guests.

You can export your data at any time from the platform. Upon account deletion, your data will be permanently deleted within 90 days.

8. WhatsApp Messaging

The automated WhatsApp messaging feature requires a Termii account and an approved WhatsApp Business sender ID. You are responsible for:

Residly is not responsible for message delivery failures, Termii downtime, or WhatsApp policy violations arising from your use of the messaging feature.

9. Intellectual Property

The Residly platform, including its design, code, branding, logos, and content, is owned by Residly Technologies Limited and protected by Nigerian and international intellectual property laws.

You may not copy, reproduce, distribute, or create derivative works from any part of the platform without our express written permission.

10. Service Availability

We aim to maintain 99% uptime but do not guarantee uninterrupted access to the platform. Scheduled maintenance will be communicated in advance where possible. We are not liable for any losses resulting from service downtime or interruptions.

11. Limitation of Liability

To the maximum extent permitted by Nigerian law, Residly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the platform.

Our total liability to you for any claim arising from these terms or your use of the platform shall not exceed the total subscription fees paid by you in the 3 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Residly Technologies Limited, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the platform, your violation of these terms, or your violation of any third-party rights.

13. Termination

You may terminate your account at any time by contacting us at hello@residly.ng or cancelling your subscription from the platform.

We may suspend or terminate your account immediately if you violate these terms, engage in fraudulent activity, or fail to pay subscription fees after reasonable notice.

Upon termination, your right to access the platform ceases immediately. Your data will be retained for 90 days before permanent deletion.

14. Governing Law

These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

15. Changes to These Terms

We may update these Terms of Service from time to time. We will notify you of material changes by email at least 14 days before they take effect. Your continued use of the platform after the effective date constitutes your acceptance of the updated terms.
